Terms and Conditions

1. The service

NexusChain is software-as-a-service for businesses: demand forecasting, inventory policies, purchasing, MRP, DRP, S&OP, warehouse and transport execution, finance analytics, simulation and an AI assistant. Features available to you depend on your plan.

The service is intended for business use by people aged 18 or over who have authority to act for their company.

2. Accounts and users

You are responsible for the accuracy of your account information, for the users you invite and their roles, and for keeping passwords confidential. Notify us promptly of any unauthorized use of your account.

3. Plans, prices and renewal

Subscriptions are priced per company according to the plan and region shown on our pricing page or in a written proposal. Prices exclude taxes unless stated otherwise.

Subscriptions renew automatically at the end of each billing period (monthly or annual) until cancelled. We will give at least 30 days' notice of any price change; renewal increases are capped at 7% per year for existing customers.

4. Payments and our reseller

Our order process for online purchases is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our online orders. Paddle provides all customer service inquiries related to payments and handles returns.

Where agreed in writing, annual contracts and professional services may instead be invoiced directly by INservicios and paid by bank transfer, under the payment terms stated on the invoice.

5. Trials and demo data

Free trials and demo companies are provided as-is for evaluation, may have usage limits and may be deleted when the trial ends. Demo data is fictional.

6. Your data

You keep all rights to the data you upload (products, sales, customers, suppliers and other business data). You grant us a limited license to host, process and display it only to provide and support the service for you.

You can export your data at any time. After cancellation we keep it for 30 days so you can export it, and then delete it, except where the law requires us to keep records. Each company's data is logically isolated from other customers.

7. AI features

The AI Advisor, AI chat and automated analyses produce recommendations based on your data and may contain errors. You remain responsible for your business decisions and should review important recommendations. We use AI providers under terms that do not allow them to use your data to train their models.

8. Acceptable use

You agree not to misuse the service: no unlawful content, no attempts to access other customers' data, no reverse engineering, no overloading or disrupting the platform, and no reselling of access without our written permission.

9. Implementation and professional services

Implementation, diagnostics, training and consulting are delivered according to the scope and price agreed in the proposal. Savings figures in diagnostics and proposals are estimates based on the information provided, not guarantees of results.

10. Availability and support

We work to keep the service available and secure and may perform scheduled maintenance. Specific service levels (SLA) apply only when included in your plan or a signed agreement. Support is provided by email and WhatsApp in Spanish and English.

11. Intellectual property

NexusChain, its software, design, documentation and Academy content belong to INservicios. Your subscription grants a non-exclusive, non-transferable right to use the service during your subscription term.

12. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.

13. Disclaimer and limitation of liability

Except as expressly stated, the service is provided "as is". To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages, lost profits or lost data, and our total liability for any claim is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

14. Cancellation and termination

You can cancel at any time; your plan remains active until the end of the paid period. Refunds follow our Refund Policy. We may suspend or terminate accounts that breach these Terms or have unpaid invoices, after notice where reasonable.

15. Changes to these Terms

We may update these Terms. We will publish the new version on this page and notify customers of material changes at least 30 days before they take effect.

16. Governing law

These Terms are governed by the laws of the Republic of Panama. Disputes will be submitted to the competent courts of Panama City, unless mandatory consumer law of your country provides otherwise.
